Version 1.0 Effective date: [to be completed]
The short version
- PerioSync is a periodontal charting tool for dental professionals. It is run by an individual in Egypt trading as "PerioSync" (section 1).
- It is a record-keeping tool. It has not been registered or certified as a medical device, and nothing it calculates or suggests is a diagnosis. You must check every reading, transcription, calculation and suggestion. You remain responsible for every clinical decision and for keeping your own patient records. Export and keep your own copies (section 7).
- Voice dictation uses your browser's speech recognition, so your browser maker receives the audio. You may need your Patients' consent before you dictate in front of them. If the AI feature is enabled, phrases our software cannot read may be sent as text to an AI provider. Dictation makes mistakes (section 8).
- You are the controller of your Patients' data. You need a lawful basis, and you must tell your Patients how their data is used, including that the microphone may pick up their voices. Our DPA applies (section 9).
- One Credit starts one chart. Credits are priced in Egyptian pounds and delivered when your payment is confirmed. They do not expire while your Account is open, and they have no cash value (sections 10 and 11).
- Purchases are final. We refund only where the law requires it; where we received your payment but did not add the Credits; where you were charged twice or by mistake; where we end the Service, remove a core function or close your Account through no fault of yours; or where you close your Account because you do not accept a material change to these Terms (sections 6.3, 12 and 27).
- If you reverse a payment, we may suspend your Account and remove the Credits it paid for. During a suspension you can still view and export your records (sections 13 and 24.5).
- We do not guarantee that the Service will always be available. Our liability is limited to the greater of what you paid us in the 12 months before the event that caused the claim and a fixed minimum amount, except where the law does not allow a limit (sections 20 to 22).
- If we make a material change to these Terms, we give you at least 30 days' notice, and the app will ask you to accept it before you can continue (section 27).
- Egyptian law applies, and the courts of Cairo decide disputes. Any protections your own law gives you that cannot be excluded still apply (section 29).
This summary is for convenience only. The full Terms below govern.
1. Who we are
1.1 The Service is provided by [to be completed], an individual trading as "PerioSync", of [to be completed]. Commercial registration / tax number: [to be completed].
1.2 In these Terms, "PerioSync", "we", "us" and "our" mean that person. "You" means the person who holds an Account and, where section 4.4 applies, the Practice they act for.
1.3 You can contact us:
- by email at munyashraf99@gmail.com (legal, privacy and support);
- on WhatsApp at +20 112 569 2017 or +20 103 044 9593 (support);

1.4 Our website is https://periosync.com.
2. Your agreement to these Terms
2.1 These Terms are a legally binding contract between you and us. They govern your access to and use of the Service.
2.2 You accept these Terms when you tick the box confirming that you agree to them and create your Account. If you used the Service before this version took effect, the app will ask you to accept these Terms the next time you use it, even if you are still signed in. Until you accept, you cannot use the Service, except to read these Terms, finish saving a chart you already had open, sign out, or send us a message through the support form, for example to ask for an export of your data or to close your Account. If you do not accept these Terms, you must not use the Service. When you create your Account, and when you first accept these Terms as an existing user, we also ask for your separate consent to the transfers of your personal data outside Egypt described in the Privacy Policy (section 8.3). We cannot open or keep an Account without it.
2.3 The following documents form part of these Terms:
(a) the Privacy Policy at /privacy, which explains how we handle personal data about you and how Patient Data is handled;
(b) the Cookie Policy at /cookies;
(c) the Refund Policy at /refunds;
(d) the Data Processing Addendum at /dpa (the "DPA"), which sets out the terms on which we process Patient Data for you; and
(e) any further conditions shown to you in the app and accepted by you, for example when you ask to buy Credits.
2.4 If these documents conflict:
(a) the DPA prevails on the processing of Patient Data;
(b) the Refund Policy prevails on payments, Credits, refunds and payment reversals. However, it does not take away a refund that section 6.3, 12, 24.4, 26.2 or 27.4 of these Terms gives you;
(c) otherwise, these Terms prevail over the other documents; and
(d) nothing in any of them takes away rights that you have under mandatory law.
2.5 When you accept these Terms, we record which versions of these Terms, the DPA, the Refund Policy, the Privacy Policy and the Cookie Policy were in force and shown to you, the version of the acceptance text, your consent to transfers under section 2.2, the date and time, and the IP address used. When you ask to buy Credits, we record your confirmation under section 12.1, with the version of the confirmation text and of the Refund Policy, the date and time, the IP address and the session used. We do not accept a credit request or online payment without that confirmation. You can read, save and print the current Terms at any time at /terms. Each version of these Terms stays available at its own web address, and previous versions are also available on request.
3. Definitions
3.1 In these Terms:
- "Account" means the account registered to your mobile number, through which you use the Service.
- "Content" means everything that you, or anyone using your Account, enter into or create with the Service. This includes Patient Data, charts, notes, diagnoses and messages you send us through the app.
- "Credit" means a prepaid unit that can be used to start one chart, as described in section 10.
- "DPA" has the meaning given in section 2.3(d).
- "Patient" means a person whose information is entered into the Service.
- "Patient Data" means any information about a Patient that is stored or processed through your Account, including measurements, findings, notes and diagnoses, whether or not it names the Patient.
- "Practice" means a dental practice, clinic, hospital, university or other organisation on whose behalf you use the Service.
- "Service" means the PerioSync web application at https://periosync.com, including www.periosync.com and any other address at which we run it, its installable app version, all its features, and the support we provide for it.
- "Terms" means these Terms of Service together with the documents listed in section 2.3.
- "Working Day" means Sunday to Thursday, except public holidays in Egypt.
3.2 "Including" and "for example" introduce examples. They do not limit the general words before them. "In writing" includes email and WhatsApp messages, except where section 28.4 says how a formal notice must be sent. Headings and the summary box help you read these Terms but do not change their meaning.
4. Who may use the Service
4.1 A professional tool. The Service is made for dentists, periodontists, dental hygienists and dental therapists, and for staff and students working under their supervision. You may use it only in the course of your professional work. It is not made for Patients or for personal use. We provide the Service to you as a professional. If consumer protection law still applies to you, nothing in these Terms removes the rights it gives you that cannot be excluded by agreement.
4.2 Age and capacity. You must be at least 18 years old and have full legal capacity to make contracts under the law that applies to you. If you are an Egyptian citizen, this means you must be at least 21 years old. If you do not meet these conditions, you may use the Service only as section 5.2 allows, under the Account of the dental professional who supervises you.
4.3 Qualifications. If the law where you work requires a licence or registration for the clinical work you record in the Service, you must hold it, or work under the supervision of someone who does.
4.4 Using the Service for a Practice. If you accept these Terms on behalf of a Practice, you confirm that you have authority to bind it. These Terms then bind both you and the Practice. If you do not have that authority, you are personally bound by these Terms.
4.5 Any country, but your law applies to you. You may use the Service from any country. You are responsible for making sure that your use is lawful where you work. This includes the law on health records, professional confidentiality, data protection, transfers of data to other countries, and professional conduct. Patient Data is stored by our database provider in [to be completed], processed by our hosting provider in the United States, and accessed by us from Egypt to run and support the Service. If you use voice dictation, what is said is also processed by your browser maker's speech service, wherever that service operates, and, where AI interpretation is enabled, the text of some dictated phrases is processed by our AI provider in the United States (section 8). The DPA (Annex 3) and the Privacy Policy describe these locations and our providers. If the law that applies to you does not allow this, you must not use the Service for Patient Data.
4.6 HIPAA. We do not offer Business Associate Agreements under the US Health Insurance Portability and Accountability Act ("HIPAA"). If you are a covered entity or a business associate under HIPAA, you must not use the Service to create, receive, store or send protected health information, unless we have signed a Business Associate Agreement with you in writing. We make no statement that the Service meets HIPAA requirements.
4.7 Laws that keep health data in the country. Some countries require health data to stay inside the country, or restrict its transfer abroad. Examples include the United Arab Emirates (Federal Law No. 2 of 2019 on the use of information and communications technology in health fields) and Saudi Arabia (its Personal Data Protection Law). If a law of this kind applies to you, you must not use the Service for Patient Data unless you have confirmed that your use is allowed, for example under an exemption or approval that applies to you.
4.8 Our right to refuse. We may refuse to open an Account, or to provide the Service in a particular country, if we reasonably believe that doing so would be unlawful or would expose us or our users to legal risk.
4.9 Instructions when you act for a Practice. We act on the instructions of the Account holder. We do not decide disputes between you and your Practice. If we are told of a dispute about an Account, for example by a Practice that says the Patient Data in it belongs to it, we may refuse to delete or export that data, and may suspend the Account (section 24.5), until you and the Practice agree in writing or a court or authority decides. We are not responsible for acting on the Account holder's instructions before we were told of the dispute.
4.10 Sanctions. You must not use the Service if you are located or ordinarily resident in a country or region subject to comprehensive sanctions under the laws that apply to us or our providers, or if you are named on a sanctions list of the United Nations, the United States, the European Union or the United Kingdom. You confirm that this does not apply to you.
5. Your Account and its security
5.1 Registration. You sign up with your full name, a mobile number and a password. Everything you tell us must be true, and you must keep it up to date. The mobile number must be one that you personally use and control. Your mobile number is your login. Your Account is not linked to any email address of yours. You cannot change your name or mobile number in the app. To change them, ask us by WhatsApp or email. We update them once we have checked the request as section 5.9 describes.
5.2 One person per Account. An Account is personal to the person who registered it. You must not tell anyone your password or let anyone else sign in to your Account, including colleagues at your Practice. Each person who uses the Service in their own right needs their own Account. Staff or students may operate the Service for you under your direct supervision while you are signed in. You are responsible for what they do.
5.3 Password. Choose a strong password that you do not use for anything else, and keep it secret. Sign out when you finish on a shared device. Creating an Account keeps you signed in on that device, even after the browser is closed, until you sign out or the sign-in expires. Ticking "Remember me" when you sign in does the same, so do not tick it on a device that other people use. Our staff will never ask for your password by WhatsApp, phone or email. Enter it only on the app's sign-in and change-password screens.
5.4 Signed-in devices. Only a limited number of devices can be signed in to an Account at the same time (section 6.4). If you sign in on more devices than your Account allows, the device you used least recently is signed out automatically. You can see your signed-in devices in the app and sign them out.
5.5 If your Account is compromised. If you think someone else knows your password or has used your Account:
(a) change your password in the app at once, which signs out your other devices; and
(b) tell us without delay by WhatsApp or email.
5.6 Responsibility for your Account. You are responsible for everything done through your Account. This does not apply to activity:
(a) that takes place after you told us under section 5.5(b) that your Account was compromised and we had a reasonable opportunity to act; or
(b) that was caused by our breach of these Terms.
5.7 Forgotten password. The "Forgot password?" link opens a WhatsApp conversation with our support. We check the request as section 5.9 describes. We set a temporary password only once we are reasonably satisfied that the request comes from the Account holder. When you sign in with a temporary password, change it in the app straight away. This also signs out your other devices.
5.8 Change of mobile number. If you stop using the mobile number registered to your Account, tell us, as section 5.1 describes, before you lose access to it. If you do not, we are not responsible for messages we send to that number after it passes to someone else.
5.9 How we check requests. To protect your Account and your Patients' data, we check every request to reset your password, change your name or mobile number, export data, delete data or close your Account.
(a) If you can sign in, you must send the request, or confirm it, through the support form in the app while you are signed in.
(b) If you cannot sign in, we will ask you to message us from your registered mobile number and to confirm details of your Account that only its holder is likely to know.
We may refuse a request until we are reasonably satisfied that it comes from you. We acknowledge a request within 2 Working Days of receiving it. We deliver exports as an encrypted, password-protected file sent to the WhatsApp number registered to your Account, and we give you the password in a separate message. We send an export by email only if you ask for this from your registered number and accept that email is less secure. We never send Patient Data in an unencrypted file or message.
6. The Service
6.1 What it does. The Service lets you:
(a) record periodontal charts by typing or by voice;
(b) view charts in different layouts, and calculate values from the readings;
(c) print charts and export them as PDF or image files. Exports are created in your browser and saved on your device;
(d) compare two charts;
(e) share a chart as a link (section 16); and
(f) keep charts with Patient records.
The Service can be installed as an app on supported devices. It needs an internet connection to load and save your data.
6.2 Optional features. We may switch the following features on or off, change them, offer them only to some Accounts, or withdraw them, at any time:
(a) AI interpretation of dictated phrases (section 8.4);
(b) the diagnosis suggestion (section 7.4);
(c) the free trial (section 14);
(d) online payment through payment providers (section 11.5); and
(e) the referral programme (section 15).
A feature being available now does not mean that it will stay available. However, while AI interpretation is not enabled for your Account, we give you notice before we enable it, as the DPA (section 9.5) describes.
6.3 Changes to the Service. We may change, add or remove features and change how the Service works, for example to improve it, fix problems, prevent abuse or meet legal requirements. If a change will significantly reduce your ability to create, view, edit or export charts, we will tell you in advance under section 28 where we reasonably can.
Core functions. The core functions of the Service are: starting a chart and recording periodontal readings in it by typing; saving and editing it; viewing it; comparing two charts; and printing a chart or exporting it as PDF. Voice dictation and the features in section 6.2 are not core functions. While you hold Credits you bought, we will keep the core functions available, except during temporary interruptions (section 20) or if we end the Service (section 26). If a change ever makes a core function unavailable, we will tell you at least 30 days in advance where we reasonably can. You may then, within 30 days after the change takes effect, close your Account and receive a refund of the Credits you bought and have not used (section 12.5). Any wider right that mandatory law gives you still applies (section 12.2(a)).
6.4 Usage limits. The Service has usage limits. These may include limits on the number of signed-in devices, the number of Patient records, the amount of voice processing each month, and the number of requests in a period. Limits can differ between Accounts, for example depending on whether an Account has bought Credits. The limits that apply to your Account are the ones shown in or applied by the app. We may change them at any time. When you reach a limit, a feature may stop working until the limit resets or you take the step the app shows you. A change to usage limits will not take away your ability to view, edit, print or export Content already in your Account.
6.5 Your equipment. You need a compatible device, a supported web browser and an internet connection, at your own cost. Some features, especially voice dictation, work only in some browsers. We do not promise that the Service will work on every device or browser.
6.6 Support. We provide support through the in-app support form and WhatsApp. We try to reply within a reasonable time, but we do not promise a response time.
7. Clinical use and professional responsibility
7.1 A record-keeping tool. The Service is a tool for recording and organising periodontal findings. We have not registered, certified or CE-marked it as a medical device in any country, and it has not been assessed as one. Its calculations and the diagnosis suggestion (section 7.4) are produced by fixed rules from the readings you record. They are not a diagnosis, and they do not replace your examination or your clinical judgement. We do not intend the Service, or anything it calculates or suggests, to be used as the basis for diagnosing, preventing, monitoring, treating or predicting any disease or condition without your own independent clinical assessment. It does not give clinical advice.
7.2 You must check everything. Any value in the Service may be wrong. This includes:
(a) readings that are typed, dictated, or entered by speech recognition or AI interpretation;
(b) values the Service calculates, such as clinical attachment level, percentages, indices, summaries and comparisons between charts;
(c) any suggestion the Service makes, including the diagnosis suggestion; and
(d) printed and exported charts, and charts imported from a share link.
Before you rely on any of them, you must check them against your own clinical findings and correct any errors.
7.3 Limits of calculations. Calculated values are only as accurate as the readings they come from. They follow fixed rules that may not suit every case. For example, a comparison between two charts lists only changes of 2 mm or more, so smaller changes do not appear in that list.
7.4 Diagnosis suggestion. Where it is enabled, the diagnosis suggestion proposes a periodontal status, stage and extent by applying fixed rules to the measurements recorded in the chart. It is not a diagnosis. It does not consider anything that is not recorded in the chart, such as the Patient's history or radiographs, and it may not apply a classification system completely or correctly in every case. It fills editable fields only when you press its button. Pressing it replaces the status already entered. It may also replace the stage and extent, and may clear a stage, grade or extent that does not fit the proposed status. It does not propose a grade. You decide whether to keep, change or delete what it proposes. Any diagnosis saved in a chart is your diagnosis.
7.5 Your clinical responsibility. You, and not PerioSync, are responsible for:
(a) every examination, diagnosis, treatment plan, referral and other clinical decision;
(b) the accuracy and completeness of the records you make; and
(c) meeting the professional and legal standards that apply to you.
The Service does not replace your clinical judgement.
7.6 Your record-keeping duties. You are responsible for any legal or professional duty to make, keep, protect and produce clinical records, for as long as your law requires. The Service is not an archive or a records-retention service. We do not promise that your data will be kept for the period your law requires, or that it will never be lost (section 20). Export and keep your own copies of every chart you need, for example as PDF files, and store them safely.
8. Voice dictation
8.1 Your browser's speech recognition. Voice dictation uses the speech recognition built into your web browser. While you dictate, your browser may send the sound from your microphone to its maker to turn it into text. For example, Chrome sends it to Google and Edge sends it to Microsoft, and Safari may send it to Apple. This happens under the browser maker's own terms and privacy policy. We do not receive, store or control the audio. Your browser's maker processes the audio as an independent company, for purposes set by its own terms. It does not act for us and is not covered by our DPA. Because of this, if the GDPR, the UK GDPR or Egypt's Personal Data Protection Law applies to you, you will usually need the explicit consent of each Patient, and of anyone else whose voice may be picked up, before you dictate in their presence. You must obtain any consent your law requires before you start dictation. You must not dictate in front of a Patient who has refused. If you do not accept this, do not use voice dictation. You can type every reading instead.
8.2 Language. Speech recognition is currently set to English.
8.3 Who the microphone hears. The microphone can pick up anyone speaking nearby, including Patients and staff, and what they say can be turned into text. Do not say names or other identifying details while you dictate unless they are needed.
8.4 AI interpretation (may be enabled). Where this feature is enabled, our software may be unable to read a dictated phrase that contains a number. The text of that phrase may then be sent to Groq, Inc., an artificial-intelligence provider in the United States, to be interpreted. What is sent is the text of the phrase, up to five alternative readings from your browser, and the tooth, side and measurement being charted. We do not send the Patient's name or reference, the chart's identity or your Account details. However, every word spoken in that phrase is sent. Groq uses the text to return the interpreted reading to us. Groq interprets the text with a language model that does not call outside tools or services, such as web search. [to be completed]
8.5 Accuracy. Speech recognition and AI interpretation make mistakes. They can mishear words, pick up other people speaking, enter a value against the wrong tooth, site or measurement, or treat words as a command. We do not promise that dictation is accurate or complete. Watch the chart while you dictate, and check every value before you save, print, share or rely on the chart.
8.6 The dictation window. A Credit buys one chart, not unlimited dictation. Voice dictation is available on a chart while it is new and for 1 hour after it is first saved as finished. Automatic saving does not start that hour. After the hour ends, you can still edit the chart by hand. We may change the length of this window.
8.7 Voice allowance. Voice processing is subject to a monthly allowance and to rate limits (section 6.4). When the allowance is used up, AI interpretation stops until the allowance resets. You can still enter readings by hand.
9. Patient Data and your duties
9.1 Roles. For Patient Data, you (or your Practice) are the controller and we are your processor. We process Patient Data only to provide the Service to you, on your instructions and as set out in the DPA. For personal data about you as an Account holder, we are the controller, as described in the Privacy Policy.
9.2 Your duties as controller. You must:
(a) have a lawful basis, and any consent your law requires, for entering each Patient's data into the Service and for each use you make of it. This includes the consent of a parent or guardian where the law requires it for a child. It also covers the processing by our providers and the transfers to other countries described in the Privacy Policy and the DPA;
(b) give your Patients the information your law requires about how their data is processed, and obtain any consent that section 8.1 describes before you dictate. This includes telling them that you use PerioSync to record their data; that it is stored by us and our providers in the places described in the Privacy Policy; that you may use voice dictation during their examination; that the microphone may pick up their voices; that the audio may be processed by your browser's maker; and, where AI interpretation is enabled, that the text of some phrases may be processed by our AI provider;
(c) enter only the Patient Data you need. Use a Patient reference instead of a name where you can. Do not put names, contact details or other identifying details in tooth notes, diagnosis notes or messages to us unless they are needed;
(d) meet your other obligations under data protection law, including answering Patients who exercise their rights. We will help you as set out in the DPA;
(e) keep your printouts, exports and share links secure; and
(f) meet your duties of professional confidentiality.
9.3 Health data. Patient Data is health data, which many laws protect specially. For example, it is sensitive personal data under Egypt's Personal Data Protection Law No. 151 of 2020, and a special category of personal data under the EU GDPR and UK GDPR. You are responsible for meeting the extra conditions those laws place on you as controller.
9.4 Our access. We access Patient Data only as the DPA allows, for example when you ask us for help, to keep the Service running and secure, or where the law requires it.
9.5 Security. We protect data with the measures described in the Privacy Policy and the DPA. No system is completely secure, and we do not promise that unauthorised access will never happen. If a breach affects Patient Data, we tell you as section 12 of the DPA describes.
9.6 Deleting or correcting Patient Data. You cannot delete Patients or charts, or edit a Patient record (reference, name, date of birth or note), in the app. To delete a Patient, a chart or all of your Patient Data while keeping your Account, or to correct a Patient record, send a request by email to munyashraf99@gmail.com or on WhatsApp. We check the request as section 5.9 describes, and we carry it out within 30 days of verifying the request. If you tell us that the request comes from a Patient and has a legal deadline, we give it priority, as the DPA (section 10.2) describes. Copies in backups are overwritten as described in the Privacy Policy. Deleting a chart does not return the Credit used to start it.
10. Credits
10.1 What a Credit is. A Credit is a prepaid unit that lets you start one chart. One Credit equals one chart.
10.2 When a Credit is spent. A Credit is spent when you start a new chart. Before you start it, the app shows that the chart will use a Credit and shows your balance. Once the chart is started, the Credit is used, even if you leave the chart empty or never finish it. Saving and editing that chart later uses no further Credits. Importing a chart from a share link starts a new chart and uses one Credit.
10.3 One chart per Patient examination. Each chart is for recording one examination of one Patient. You must not reuse a chart for a different Patient or for a later examination. You must not deliberately leave a chart unfinished so that you can keep dictating into it after the examination has ended.
10.4 No expiry. Credits do not expire while your Account is open. Unused Credits end when your Account is closed or terminated, and are refunded only where section 12 says (sections 12, 24 and 25).
10.5 No cash value. Credits are not money or electronic money. They have no cash value and cannot be exchanged for cash. You cannot sell or transfer them, or move them to another Account, unless we agree in writing.
10.6 Free Credits. Credits we give free of charge, such as trial Credits, referral rewards or goodwill Credits, are covered by these Terms. They are never refundable.
10.7 Corrections. If Credits are added to your Account by mistake, for example twice for the same payment, we may correct your balance. If a fault on our side used a Credit without giving you the chart, or stopped a chart from saving so that what you recorded in it was lost, tell us and we will put the Credit back, as the Refund Policy (section 2.3) describes.
11. Prices and payment
11.1 Prices. Prices are in Egyptian pounds (EGP). The price per Credit depends on how many Credits you buy in one order, and the total may be rounded, as shown in the app. The app shows the total price before you ask for or pay for Credits. We may limit the number of Credits in one order.
11.2 Taxes. [to be completed]. You are responsible for any taxes, duties or withholdings that your own country charges on your purchase.
11.3 Paying by transfer. At present you buy Credits as follows:
(a) you open a credit request in the app. It shows a reference (for example "R-K7QM2X") and the amount to pay;
(b) you pay that amount by bank or app transfer (for example InstaPay, Telda or a mobile wallet) to the payment details shown in the app. The payment details shown in the app belong to accounts held by [to be completed], who receives payments only on our behalf where that holder is not us. A payment that reaches those details is a payment to us;
(c) you send us proof of payment, with your reference, on WhatsApp; and
(d) an administrator checks the payment and approves the request.
Your Credits are added to your Account when the request is approved. Approval is done by a person and can take time, especially outside working hours. Your open request and your most recent requests, with their status, are shown in the app. You can ask us for a full history.
11.4 Pay only to the details shown in the app. Send money only to the payment details shown on your credit request screen in the app. We will never ask you to pay to other details, by WhatsApp or in any other way, even from our own numbers. Money sent to any other details is not a payment to us, and we are not responsible for it.
11.5 Online payment (may be offered). We may offer online payment through payment providers such as Fawaterak or Paymob. They may support cards, wallets, Fawry, Aman or instalments. You then pay on the provider's own payment page. Your card details are entered there and never reach our servers. To open the payment, we send the provider your name (split into a first and last name), your mobile number, the amount, our order reference and an email address. That email address is the one you give us for a receipt or, if you give none, a technical address made from your mobile number that cannot receive mail. The provider's terms apply to your payment, and any instalment plan is an agreement between you and the instalment provider. Your Credits are added when the provider confirms the payment to us.
11.6 Declined requests. We may decline a credit request, for example if we cannot match a payment to it, the amount is wrong, or we suspect fraud. If we decline a request after we have received your payment, we add the Credits once the problem is resolved or, if you ask us to, return the payment under section 12.2(b).
11.7 Fees and currency. You pay any fee your bank, wallet or payment provider charges you to send the payment, and any currency conversion costs. If we receive less than the price of your order, we tell you, and you can pay the rest within 30 days. If the rest has not arrived within 30 days, or you tell us you will not pay it, we either add the number of Credits that the amount we received pays for, at the prices then shown in the app, or return what we received, as you choose (Refund Policy, section 4.3).
11.8 Price changes. We may change our prices at any time. A new price applies to orders made after the change. A credit request opened before the change keeps the price shown when it was opened, unless the request is cancelled because it was not paid within 30 days, as the Refund Policy explains. A price change does not affect Credits already in your Account: each of them still starts one chart.
11.9 Pricing errors. If a price shown in the app is clearly wrong, for example because of a typing or technical error, we do not have to sell at that price. If we find the error before your Credits are added, we will tell you. You can then pay the correct price, or cancel and receive back any amount you paid. If the error was obvious and you should reasonably have noticed it, we may also cancel an order after its Credits were added. In that case we will remove the Credits from that order that you have not used, and refund what you paid for them.
11.10 Confirmation. After we add Credits that you bought, we send you a confirmation by WhatsApp or SMS to your registered mobile number. It shows the reference, the number of Credits, the price, the date, your confirmation under section 12.1, and a link to the versions of these Terms and the Refund Policy that applied. Your recent purchases are also shown in the app (section 11.3).
12. No refunds
12.1 Purchases are final. Credits are delivered to your Account as soon as your payment is confirmed. When you buy Credits, you ask us to deliver them immediately, and you confirm that you understand they are non-refundable except as this section and the Refund Policy state. If you are a consumer and a law gives you a right to cancel your purchase within a set period, the following applies as far as that law allows. Once Credits are added to your Account at your request, you lose the right to cancel for those Credits. If that law treats your purchase as a service and still lets you cancel after the Credits were added, you may cancel within the period it sets. We then refund the Credits from that purchase that you have not used, at the price you paid for them.
12.2 When we refund. We refund a payment only:
(a) where mandatory law that applies to you requires a refund;
(b) where we received your payment but have not added the Credits to your Account, for example because we declined your request or you withdrew it before we approved it. We then add the Credits or, if you ask us to, return your payment (Refund Policy, section 7.1);
(c) where you were charged twice for the same order, charged more than the price shown, or charged for a payment that failed. We then refund the duplicate payment or the overcharge;
(d) where we end the Service (section 26.2), close your Account for a reason that is not your breach of these Terms (section 24.4), or make a core function unavailable and you close your Account (section 6.3). We then refund the Credits you bought and have not used, as section 12.5 describes;
(e) where, within 30 days after a material change to these Terms takes effect, you close your Account because you do not accept the change (section 27.4), or you end these Terms after objecting to a new provider that will process Patient Data (DPA, section 8.5). We then refund the Credits you bought and have not used, as section 12.5 and the Refund Policy (section 7.5) describe; or
(f) for Credits you bought before the date at the top of these Terms, where you do not accept these Terms, as the Refund Policy (section 17) describes.
12.3 How refunds work. The Refund Policy explains how and by when to ask for a refund. A refund is never more than the amount we received for the payment concerned. Where possible, we send it to the account or payment method the payment came from.
12.4 No other refunds. Except under section 12.2, we do not give refunds or compensation for:
(a) Credits you have not used;
(b) Credits spent on charts that you started by mistake, left empty or did not finish;
(c) Credits that end when your Account is closed or terminated;
(d) a change to, or the withdrawal of, any feature, except as section 6.3 provides;
(e) problems caused by your device, browser or internet connection, or by a third-party service that you chose to use (section 19.2); or
(f) dissatisfaction with dictation accuracy or with any other feature.
12.5 Counting unused Credits. Your balance is a single number. Where these Terms need to know which of your Credits have been used, Credits you bought are treated as used before free, trial, referral and goodwill Credits, and among Credits you bought, those from your oldest purchase are treated as used first (Refund Policy, section 2.8). We refund the remaining Credits that you bought, at the price you paid for them. Free, trial, referral and goodwill Credits are never refunded. We pay the refund, less any amount you owe us, within 30 days after your Account closes or the Service ends or, for a cancellation under section 12.1, after you cancel.
13. Chargebacks and payment reversals
13.1 If you have a problem with a payment, contact us first. We can usually resolve it quickly.
13.2 If you, or anyone using your payment method, reverse, dispute, recall or charge back a payment made to us, we may straight away:
(a) suspend your Account (section 24.5);
(b) remove from your Account the Credits bought with that payment, or as many of them as are left (section 12.5); and
(c) if some of those Credits have already been used, deduct the same number from the Credits you have now or receive later. If that is not enough, the price you paid for the used Credits not covered is an amount you owe us.
We may also remove any referral reward that the payment earned (section 15.5).
13.3 If the reversal is withdrawn, or decided in our favour and we receive the payment again, we will restore any Credits we removed and lift the suspension, unless there is another reason for it. If the reversal was justified because of our error, we will lift the suspension, you owe us nothing for that payment, and section 12.2 applies.
13.4 We may refuse further payments from a payment method or account involved in a reversal.
14. Free trial
14.1 The offer. We may give a new Account a free trial of a small number of charts ("trial Credits"). We decide whether a trial is offered, how many trial Credits it includes, and on what conditions. We may change or withdraw the trial at any time, including for Accounts that have signed up but not yet received trial Credits.
14.2 Once per person. A free trial is available once per person. You must not try to get a second trial, for example by creating another Account, using another mobile number, clearing your browser data, or using another device or network.
14.3 Checks. To prevent repeat trials, we compare each sign-up with earlier trials. We use a protected (hashed) form of the mobile number, a device identifier stored in your browser, and the network address range the sign-up comes from, as the Privacy Policy and the Cookie Policy explain. If a sign-up matches an earlier trial, or comes from a network that several trials have recently come from, it is held for review by a person instead of receiving trial Credits automatically. The review may decide that no trial is given. These checks can sometimes match people who share a device or network. If you think this has happened to you, contact us.
14.4 Trial Credits. Trial Credits have no cash value. They cannot be refunded or transferred, and they do not count as a paid purchase for the referral programme. Accounts that have not bought Credits may have lower usage limits (section 6.4).
14.5 Abuse. If trial Credits are obtained in breach of this section, we may:
(a) refuse or remove the trial Credits;
(b) deduct from your balance the same number of Credits as the trial Credits already used;
(c) refuse future trials; and
(d) suspend or terminate the Accounts involved (section 24).
15. Referral programme
15.1 How it works. Every Account has a referral code. If someone signs up with your code and later makes their first paid purchase of Credits, you receive reward Credits. The reward is shown in the app. At present it is one Credit for every five Credits in that first purchase, rounded up, with a minimum of one. You receive a reward only once for each Account you refer.
15.2 What counts. Only a paid purchase counts. Trial Credits, reward Credits and other free Credits do not.
15.3 What is not allowed. You must not:
(a) refer yourself, including through another Account or a mobile number you control;
(b) create or use fake Accounts, or Accounts in other people's names without their knowledge;
(c) pay for someone else's purchase in order to earn a reward; or
(d) send unwanted messages promoting your code, or describe PerioSync in a misleading way.
15.4 What others see. If you sign up with a referral code, you will see the name of the person who referred you. They will see your name, your mobile number with its middle digits hidden (only the first four and last four characters are shown), the date you joined, whether you have bought Credits, and how many reward Credits your first purchase earned them. Because the reward depends on the size of your first purchase (section 15.1), this shows roughly how many Credits you bought.
15.5 Reversal. If the purchase that earned a reward is refunded, reversed or charged back, or if a reward was obtained in breach of section 15.3, we may remove the reward Credits. If they have already been used, we may deduct the same number from your balance. We may also suspend or terminate the Accounts involved (section 24).
15.6 Changes. We may change or end the referral programme at any time. Reward Credits already in your Account stay there, unless we remove them under section 15.5.
16. Share links
16.1 What a link contains. A share link carries a copy of a chart inside the web address itself. It contains the chart readings and the diagnosis, including the diagnosis note. It does not contain the Patient's name, reference or date of birth, or the tooth notes. Some other information is not carried either, such as implant colour marks and some text fields. A chart imported from a link may therefore be incomplete. Before you share a chart, remove names and other identifying details from its diagnosis note.
16.2 Links cannot be withdrawn. We do not store share links in our database. Because the chart data is inside the link, anyone who has the link may be able to see that data, and any signed-in PerioSync user who has it can import the chart into their own Account. A share link cannot be withdrawn or switched off, and it does not expire. Like any web address, it may also be kept in browser histories, in the apps it is sent through, and in our hosting providers' logs.
16.3 Your responsibility. You decide whether to create a share link and whom to send it to. You must have a lawful basis to share the data in it, and you must send it only to people entitled to receive it, through a channel you trust. You are responsible for what happens if a link you sent reaches anyone else through the people or channels you chose. You are not responsible for copies of a link held in our systems or our providers' logs. The DPA covers those. Anyone who imports a chart from a link must check it before relying on it (section 7.2).
17. Acceptable use
17.1 You must not, and must not help or allow anyone else to:
(a) use the Service in breach of any law, regulation or professional rule, or in a way that infringes anyone's rights, including rights to privacy and confidentiality;
(b) enter Patient Data without a lawful basis, or enter information you know to be false;
(c) get around, or try to get around, Credits, prices, usage limits, device limits, the dictation window, the free-trial or referral rules, or any other limit or control in the Service. Examples include reusing a chart for another Patient or examination, and altering requests, clocks or stored data;
(d) create an Account with false details or in someone else's name without their authority, hold more than one Account to obtain trials or rewards, or share, sell or transfer an Account or its sign-in details;
(e) copy, scrape, crawl or harvest the Service or its data, or access it by bots, scripts or other automated means, except through the app as we provide it;
(f) copy, modify, translate, decompile, disassemble or reverse engineer the Service, or try to obtain its source code, except where the law expressly allows this despite this restriction;
(g) probe, scan or test the security of the Service, break or bypass its security or sign-in, access an Account or data that is not yours, or interfere with or disrupt the Service, its servers or networks (for example by overloading them or introducing malicious code);
(h) resell, rent, sublicense or provide the Service to others, or use it to build a competing product;
(i) use voice dictation, AI interpretation or our support channels for anything unlawful or abusive, or for anything other than their intended purpose; or
(j) impersonate anyone, or misrepresent your qualifications or your connection with a Practice.
17.2 If you find a security weakness in the Service, tell us at munyashraf99@gmail.com, and do not use or disclose it.
18. Intellectual property
18.1 Ours. The Service, including its software, design, text, graphics, layouts and the name and logo "PerioSync", is owned by us or our licensors and is protected by intellectual property law. Apart from the right in section 18.2, these Terms give you no rights in it.
18.2 Your right to use the Service. While your Account is open and you comply with these Terms, we give you a personal, limited, non-exclusive, non-transferable right, which you cannot sublicense, to use the Service for your professional work. You may print and export your charts. You may use those printouts and exports for your clinical records, for the care of the Patients concerned, and to communicate with them and with other professionals involved in their care. You must not use the graphics, layouts or other parts of the Service separately from your charts.
18.3 Yours. You keep all the rights you have in your Content. We do not claim ownership of it.
18.4 Our licence to your Content. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process, display and back up your Content for as long as we hold it. We may use this licence only to provide, secure and support the Service for you, to comply with the law, and as the DPA and the Privacy Policy describe. We do not sell your Content, and we do not use Patient Data for our own purposes.
18.5 Your promise. You confirm that you have all the rights and permissions needed to enter your Content into the Service and to give us this licence.
18.6 Feedback. If you send us ideas or suggestions about the Service, we may use them freely, without paying you or owing you anything. Do not include Patient Data in feedback.
19. Third-party services
19.1 The Service relies on, or works with, services provided by others. These include your web browser and its speech services, WhatsApp, banks and payment apps, payment providers, and our hosting, database and AI providers. The Privacy Policy and the DPA list the providers that process personal data for us, and where they do so.
19.2 Services you choose to use. Your browser and its speech services, WhatsApp, your bank or payment app, payment providers' pages and any instalment provider are governed by their own terms and privacy policies. Those terms are between you and them. We do not control these services. As far as the law allows, we are not responsible for their availability, accuracy, security or actions.
19.3 Our providers. Our responsibility for the providers that process Patient Data on our behalf is set out in the DPA. Problems at those providers can still affect the Service (sections 20 and 30.5).
20. Availability, backups and data loss
20.1 No availability guarantee. We try to keep the Service available, but we provide it without any service level commitment. It may be slow, interrupted or unavailable, for example during maintenance or updates, failures at our providers, internet problems or attacks. We may suspend the Service for maintenance or security. Where practical, we will give advance notice of planned maintenance.
20.2 Saving needs a connection. The Service saves charts on our servers and has no offline mode for your data. If your connection drops or a save fails, changes made since the last successful save can be lost. The app shows whether a chart has been saved. Check that it has been saved before you close the chart or leave the page.
20.3 Backups. Our database provider keeps backups on its own rolling schedule ([to be completed]). Backups exist to recover the Service after a failure. We do not promise that any particular chart, change or deleted item can be restored.
20.4 Keep your own copies. Data can be lost, so export and keep your own copies of the charts you need (section 7.6).
21. Disclaimers
21.1 Except for what these Terms expressly promise, and as far as the law allows, the Service is provided "as is" and "as available". We give no other promises, warranties or conditions about the Service, whether express or implied. In particular, we do not promise that the Service:
(a) will be accurate, complete, error-free, secure or uninterrupted;
(b) will be free of harmful components;
(c) will meet your needs or be fit for a particular purpose; or
(d) meets the laws, standards or classification systems that apply to you.
21.2 We do not promise any particular result from using the Service, such as a clinical outcome or time saved.
21.3 This section does not exclude any warranty or guarantee that the law says cannot be excluded.
22. Limitation of liability
22.1 What we do not exclude or limit. Nothing in these Terms excludes or limits our liability:
(a) for fraud, gross fault (gross negligence) or wilful misconduct;
(b) for death or personal injury caused by our negligence;
(c) for an unlawful act (tort), where the law does not allow that liability to be excluded or limited;
(d) under data protection law, where it cannot be excluded or limited; or
(e) for anything else that cannot be excluded or limited under the law that applies, including mandatory consumer protection law where it applies to you.
22.2 Losses we are not responsible for. Subject to section 22.1, we are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:
(a) indirect or consequential loss, or loss that was not reasonably foreseeable when you accepted these Terms;
(b) loss of profit, revenue, business, contracts, goodwill, reputation or expected savings;
(c) loss or corruption of data, or the cost of recreating it, to the extent you could have avoided it by keeping your own copies as section 7.6 requires;
(d) loss arising from any clinical decision, diagnosis, treatment or record made by you or anyone using your Account, or from relying on a reading, transcription, calculation or suggestion without checking it as section 7 requires;
(e) loss caused by events outside our reasonable control (section 30.5), by third-party services under section 19.2, or by your device, browser or internet connection;
(f) loss caused by your breach of these Terms, or by someone using your password or Account, unless that use was caused by our breach of these Terms; or
(g) claims made against you by Patients or other third parties, except to the extent caused by our breach of these Terms or the DPA.
22.3 Our maximum liability. Subject to section 22.1, our total liability to you for all claims arising out of or in connection with these Terms, the DPA or the Service, whether in contract, tort (including negligence) or otherwise, is limited to the greater of:
(a) the total amount you paid us for Credits in the 12 months before the event that gave rise to the first claim; and
(b) [to be completed].
This limit does not apply to our obligation to add Credits you have paid for, or to make a refund that section 12 or the Refund Policy requires.
22.4 Why these limits apply. These limits reflect the price of the Service and the fact that you, as a professional, make the clinical decisions, check the records and can keep your own copies. Our prices are set on the basis of these limits.
22.5 Each limit stands alone. Each exclusion and limit in this section is separate. If one of them cannot be enforced, the others still apply.
23. Your indemnity
23.1 You will compensate us for reasonable losses, damages and costs (including reasonable legal fees) that we incur because of a claim by a Patient, a regulator or anyone else, to the extent the claim arises from:
(a) your Content or your clinical decisions;
(b) your failure to have a lawful basis or a required consent, including any consent needed for voice dictation (section 8.1), or to give Patients the information the law requires (sections 8 and 9);
(c) your use of the Service in breach of the law, including the laws described in sections 4.5 to 4.7;
(d) your breach of these Terms or the DPA; or
(e) the use of your Account by anyone you allowed to use it, or gave access to.
This includes an administrative fine imposed on us, but only to the extent it was caused by your breach and the law allows it to be passed on to you.
23.2 Section 23.1 does not apply to the extent the loss was caused by us or our providers, including by our negligence, or by our breach of these Terms, the DPA or the law.
23.3 Where the law allows, we will tell you promptly about any claim covered by section 23.1. We will not admit liability or settle the claim without first consulting you. You will cooperate with us, at your own cost, in dealing with it. If we are late in telling you, you must still compensate us, except to the extent the delay increased the loss.
24. Suspension and termination
24.1 Closing your Account. You can stop using the Service at any time. To close your Account, send a request by email to munyashraf99@gmail.com or on WhatsApp. We check the request as section 5.9 describes. We reply to your request within the time the law that applies to it requires (see the Privacy Policy, section 11.3(f)). We then close your Account and delete its data within 30 days of verifying the request, as described in section 25 and the Privacy Policy. Ask for an export before you close your Account (section 25.2). Closing your Account cancels your unused Credits. They are not refunded, except where section 12.2 requires it. Before we delete an Account that still has Credits, we tell you how many will be lost and ask you to confirm, as the Refund Policy (section 11.1) describes.
24.2 Our right to suspend or terminate. We may suspend your Account, restrict any feature, or terminate your Account and these Terms, if:
(a) you seriously or repeatedly breach these Terms or the DPA, or you do not fix any other breach within 14 days after we ask you to;
(b) a payment to us is not completed, or is reversed, disputed or charged back (section 13);
(c) we reasonably suspect fraud, abuse of the free trial or referral programme, unauthorised access, or misuse of the Service (on suspicion alone we will suspend your Account while we investigate, and terminate only if the investigation confirms it);
(d) a law, court, regulator or other public authority requires it, or continuing would be unlawful or would expose us to legal liability;
(e) your use puts the security, integrity or availability of the Service, or other users, at risk; or
(f) information you gave us when you registered is false, you are not eligible under section 4, or you breach section 4.10.
24.3 Notice. Where it is practical and lawful, we will tell you the reason for a suspension or termination and give you a chance to respond. Where a breach can be fixed, we will also give you a chance to fix it. We may act without notice if we reasonably believe we must act at once, for example to protect security, stop fraud or comply with the law. A suspension lasts only as long as reasonably necessary. We lift it once its reason has been resolved.
24.4 Credits after termination by us.
(a) If we terminate your Account under section 24.2(a), (b) or (c), and after following section 24.3 we are satisfied that the breach, payment reversal, fraud or abuse took place, your unused Credits are cancelled and not refunded, except where mandatory law requires otherwise.
(b) If we terminate under section 24.2(f) because you are not eligible, and you did not give us false information on purpose, we refund the Credits you bought and have not used (section 12.5), less any amount you owe us, unless the law does not allow us to make the payment. If you gave us false information on purpose, paragraph (a) applies.
(c) If we terminate under section 24.2(d) or (e) for a reason not caused by your breach of these Terms, we will, where the law allows, first give you at least 30 days to export your data, and we refund the Credits you bought and have not used (section 12.5).
24.5 During a suspension. A suspension stops you from starting new charts, importing charts from share links, creating share links, buying or receiving Credits and using voice dictation. Unless a law, court or authority requires otherwise, or the suspension is because someone else gained access to your Account, you can still sign in to view, print and export your existing charts and Patient records. If you cannot sign in, we will send you a copy of the records of any Patient you name, for that Patient's care, within 2 Working Days of a verified request, and a full export within 30 days (sections 5.9 and 25.2). We keep your Content during a suspension.
24.6 New Accounts. If we terminate your Account for breach, you must not open a new Account without our written permission.
25. When your Account ends
25.1 Effect. When your Account is closed or terminated, your right to use the Service ends, and your unused Credits end with it (sections 12 and 24.4).
25.2 Export. You can ask by email or WhatsApp for an export of your charts and Patient records in JSON or PDF format:
(a) at any time while your Account is open;
(b) if you close your Account yourself, before or together with your request to close it. We send the export before we delete your data. Once your data has been deleted, we cannot provide it; and
(c) if we terminate your Account, or the Service ends (section 26), within 30 days after the termination or the end of the Service.
We check the request and deliver the export as section 5.9 describes. We reply to your request within the time the law that applies to it requires (see the Privacy Policy, section 11.3(f)), and we provide the export within 30 days of verifying your request. We may refuse only where the law prevents us from providing it.
25.3 Deletion. If you closed your Account yourself, we delete your data within 30 days after we verify your request (section 24.1). If we terminated your Account, or the Service ended, we delete Patient Data no later than 30 days after the 30-day export period in section 25.2(c) ends or, if you asked for an export, within 14 days after we deliver it, whichever is later (DPA, section 13.3). We delete your other Account data in the same period. We keep only what the Privacy Policy (section 9) says we keep, for example payment records with the link to your Account removed, kept for tax and accounting, records used to prevent repeat free trials, and data needed for a legal claim. Copies in backups are overwritten on our provider's rolling schedule, as described in the Privacy Policy.
25.4 Share links. Share links you created keep working after your Account ends, because they carry the chart data themselves (section 16.2).
26. If we discontinue the Service
26.1 We may stop providing the Service permanently. If we do, we will give you at least 30 days' notice under section 28. From the date of that notice, we will stop selling Credits.
26.2 Until the Service ends, you can keep using it and your Credits, and ask for an export of your data. When the Service ends, we refund the Credits you bought and have not used, at the price you paid for them, as section 12.5 describes. Free, trial, referral and goodwill Credits are not refunded. We pay these refunds within 30 days after the Service ends, as sections 12.3 and 12.5 describe.
26.3 After the Service ends, you can still ask for an export for 30 days (section 25.2(c)). We then delete your data as section 25.3 describes.
26.4 This section does not apply to temporary interruptions (section 20.1), or to a transfer of the Service to someone who continues it (section 30.4).
26.5 If the person who operates PerioSync dies or becomes permanently unable to run the Service, [to be completed] will, as our successor or for our estate, either continue the Service under section 30.4, or give notice under section 26.1, provide exports under section 25.2, make the refunds in section 26.2 and delete Patient Data under section 25.3.
27. Changes to these Terms
27.1 We may change these Terms, for example to reflect changes to the Service, to how we run it, or to the law.
27.2 Material changes. A change is material if it reduces your rights or increases your obligations. This includes any change to sections 6.3, 6.4, 7, 10 to 16, 21 to 26 or 29. We will publish a material change at /terms at least 30 days before it takes effect. We will also tell you about it in the app, or by WhatsApp or SMS to your registered mobile number, or both, before we ask you to accept it (section 28). The notice will say what is changing and when.
27.3 Other changes. Changes that are not material, such as corrections, clarifications or new contact details, may take effect when we publish them. A change that we must make sooner to comply with the law or an order of a court or authority, or to deal with a security risk, may take effect sooner than 30 days after we publish it. If such a change is material, section 27.4 still applies to it. We will still tell you about every change.
27.4 Accepting changes. A material change applies to you once you accept it in the app. The app will ask you to accept it the next time you use the Service on or after the date it takes effect, even if you are still signed in. You cannot continue to use the Service until you accept, except as section 2.2 allows. A change that is not material applies from the date it takes effect. If you do not accept a material change, you can stop using the Service, ask us for an export of your data and close your Account (sections 24.1 and 25.2). If you close your Account for that reason within 30 days after the change takes effect, and tell us so in writing, we refund the Credits you bought and have not used (sections 12.2(e) and 12.5). If the change makes a core function unavailable, section 6.3 also applies. Otherwise, your unused Credits end when your Account closes (section 25.1), unless mandatory law requires a refund (section 12.2(a)).
27.5 What a change will not do. A change will not reduce the number of Credits in your Account, and each of those Credits will still start one chart. A change will not apply to a dispute that arose before it took effect.
27.6 Other documents. This section applies to these Terms. If another document listed in section 2.3 sets out how it may be changed, that procedure applies to it. Otherwise, this section applies.
28. Notices
28.1 How we contact you. The app does not send email, and your Account is not linked to an email address of yours. Our sign-in system uses a technical address made from your mobile number, which cannot receive mail. If you give a payment provider an email address, it may send you receipts. We give you notices by one or more of these means:
(a) a message shown in the app, where the app offers a way to show one, for example when we ask you to accept changed Terms;
(b) a WhatsApp message or SMS to the mobile number registered to your Account; or
(c) email, but only if you have given us an email address.
28.2 When our notice reaches you. A notice in the app is received when it is first shown to you. A WhatsApp message, SMS or email is received 24 hours after we send it, unless we learn that it was not delivered or that the number or address is no longer yours.
28.3 Keep your number working. Keep your registered mobile number up to date and able to receive WhatsApp messages or SMS (sections 5.1 and 5.8).
28.4 How you contact us. Formal notices to us, such as a claim, a notice of dispute under section 29.2, or any other notice under these Terms, must be in writing. Send them by email to munyashraf99@gmail.com or by post to the address in section 1.1. Requests to export or delete data, or to close your Account, may also be sent on WhatsApp. We check them as section 5.9 describes. For everyday support, use the in-app form or WhatsApp. A notice to us takes effect when we receive it.
29. Governing law and disputes
29.1 Law. These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims), are governed by the laws of the Arab Republic of Egypt.
29.2 Try to resolve it first. Before starting court proceedings, the party with the dispute must send the other a written notice describing the dispute and what it wants. We send our notice to you under section 28.1. You send yours to us under section 28.4. We will both try in good faith to resolve the dispute within 30 days after the notice is received. This does not stop either of us from asking a court for urgent interim measures, or stop you from complaining to a data protection or consumer protection authority.
29.3 Courts. If the dispute is not resolved within that time, the competent courts of Cairo, Egypt, have exclusive jurisdiction, subject to section 29.4.
29.4 Your mandatory protections. If the law of the country where you live or work gives you protections that cannot be excluded by agreement, for example as a consumer, sections 29.1 and 29.3 do not take those protections away. This includes any right that law gives you to bring proceedings in your local courts.
30. General
30.1 Entire agreement. These Terms, including the documents in section 2.3, are the whole agreement between you and us about the Service. They replace any earlier agreement, statement or understanding about it. You confirm that you have not relied on any statement or promise that is not in these Terms. This does not limit liability for fraud or fraudulent misrepresentation.
30.2 Severability. If a court or authority decides that any part of these Terms is invalid or unenforceable, that part applies with the smallest change needed to make it valid and enforceable. If that is not possible, the part is removed. The rest of these Terms remains in force.
30.3 No waiver. If we do not enforce a right, or delay in enforcing it, we have not given it up. A waiver is valid only if it is in writing.
30.4 Transfer. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer our rights and obligations under these Terms to another person or company, for example a company set up to run PerioSync or a buyer of the Service, as long as your rights under these Terms are not reduced. We will tell you at least 30 days before the transfer takes effect, and you can ask for an export and close your Account before it does (Privacy Policy, section 7.7; DPA, section 19.5). We may also use subcontractors and providers to deliver the Service, as the Privacy Policy and the DPA describe.
30.5 Events outside our control. We are not responsible for any failure or delay caused by events outside our reasonable control. These include failures of the internet, power or telecommunications; outages at our hosting, database or other providers; cyber-attacks that we could not reasonably prevent; natural disasters; epidemics; war or civil unrest; strikes; and acts, orders or changes in the law by governments or authorities. We will try to limit the effect of such an event and to restore the Service as soon as we reasonably can.
30.6 Language. These Terms are written in English. An Arabic version is available at [to be completed]. If the two differ, the English version prevails, except where Egyptian consumer law or other mandatory law requires the Arabic version to apply to you.
30.7 Electronic contract and records. These Terms are made electronically. Ticking the acceptance box and confirming in the app is your acceptance of these Terms, and it forms a binding contract. You agree that our electronic records of your acceptance, Credit balance, purchases, charts started and messages may be used as evidence, and that you will not dispute them only because they are electronic or not signed. Our records are evidence of what they record, unless you show that they are wrong.
30.8 Survival. Any part of these Terms that by its nature should continue after your Account ends will continue. This includes sections 7, 9 (for as long as we hold Patient Data), 12, 13, 16.2, 16.3, 18.3 to 18.6, 21, 22, 23, 24.4, 25, 26, 29 and 30.
30.9 Relationship. You and we are independent parties. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
30.10 No third-party rights. Only you and we have rights under these Terms. Patients and other data subjects keep any rights that the DPA, the standard contractual clauses or data protection law give them.
